Business Referral Program – Terms and Conditions

These Terms and Conditions (“Terms”) govern participation in the Business Referral Program (“Program”) offered by DevForge LLC (doing business as IAmTimCorey) (“DevForge,” “we,” “our,” or “us”). By submitting a Business Referral Request Form (“Request Form”) or participating in this Program, the participant (“Referrer,” “you,” or “your”) agrees to these Terms.

1. Overview of the Program

The Business Referral Program allows individuals to earn a 10% referral fee (“Fee”) on the completed sale of three (3) or more qualifying subscription seats (“Seats”) purchased by an organization they have referred, subject to the conditions below.

2. Eligibility

To qualify for a referral fee:

1. You must submit a completed Business Referral Request Form identifying the purchasing organization and the number of Seats to be purchased before the associated sale is completed.

2. The Request Form must result in a quote issued by DevForge, and the qualifying purchase must be completed using that quote.

3. Each Request Form and the resulting quote are directly linked — the Request is only valid for the duration that the associated quote remains active. Once the quote expires or becomes invalid, the Request is no longer active.

4. The Request applies only to the specific purchase specified in the issued quote. It does not apply to future purchases, renewals, or additional transactions, even by the same organization.

5. Only one Request Form may be associated with a single purchase. Referral Fee eligibility cannot be combined across multiple transactions to meet the minimum three-seat threshold.

6. Only one referral can be associated with a quote. The first referral to be associated with a quote in our system will be honored.

7. By submitting a Request Form, you affirmatively agree to all of these Terms and Conditions in their entirety.

3. Qualifying Sales

1. A “Qualifying Sale” means the completed purchase of three (3) or more Seats on a single order, made through a quote generated as a result of the Referrer’s Request Form.

2. The referral fee applies only to the initial purchase reflected in the associated transaction.

3. The referral fee does not apply to:

   • Future purchases or new orders made by the same organization (unless a new Request Form and quote are submitted and approved).

   • Renewals of any subscriptions. Renewals are not eligible for additional or ongoing referral fee payments.

   • Any additional products, services, or add-ons not included in the qualifying quote.

   • Purchases made outside the quote or Request Form process.

4. Fee Calculation

1. The referral fee is 10% of the base subscription price actually paid in the qualifying order.

2. If the subscription is discounted, the referral fee will be calculated based on the discounted price, not the standard rate.

3. The referral fee is calculated only on the base product price and excludes:

   • Taxes 

   • Processing or transaction fees

   • Currency conversion charges

   • Any other additional costs not part of the subscription base price

5. Payment of Referral Fee

1. The referral fee will be paid approximately 45 days after the qualifying sale is completed, verified, and payment from the purchasing organization has been received in full by DevForge.

2. The referral fee will be paid exclusively via PayPal to the PayPal account designated by the Referrer on their Request Form.

3. No alternative payment methods (including checks, bank transfers, or other electronic payment platforms) will be accommodated.

4. The Referrer is solely responsible for ensuring that their PayPal account information is accurate and active at the time of payment. DevForge will not be responsible for payment delays or losses due to inaccurate or inactive PayPal account information.

5. Referral fees may be subject to reporting and/or taxation in accordance with applicable laws. The Referrer is solely responsible for any tax obligations arising from the fee.

6. Limitations and Exclusions

1. Each Business Referral Request Form applies to one qualifying purchase only.

2. Requests tied to multiple sales, partial seat purchases, or cumulative transactions will not qualify.

3. DevForge reserves the right to verify all claims and reject any Request Form that does not meet these Terms.

4. DevForge reserves the right to amend, suspend, or terminate this Program at any time, with or without notice, at its sole discretion.

7. Representations and Conduct

By participating, the Referrer agrees:

1. Not to make unauthorized representations or commitments on behalf of DevForge or IAmTimCorey.

2. Not to use misleading, false, or deceptive statements in promoting any DevForge product or service.

3. To comply with all applicable laws, regulations, and ethical standards.

4. This is a good-faith referral program, not an opportunity to advertise on behalf of IAmTimCorey or DevForge. Any form of abuse or false advertising will result in the denial of payment and may include a ban on future earnings. Do not perform mass marketing or other unsolicited advertising.

8. No Employment or Agency Relationship

Participation in this Program does not create any partnership, joint venture, employment, or agency relationship between the Referrer and DevForge. The Referrer acts solely as an independent referrer.

9. Dispute Resolution – Binding Arbitration

1. Any dispute, claim, or controversy arising out of or relating to this Program, these Terms, or any referral fee payment shall be resolved exclusively through binding arbitration.

2. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA), and the proceedings shall take place in the State of Texas, USA.

3. Each party shall bear its own costs and expenses related to the arbitration, except as otherwise required by applicable law or the arbitrator’s decision.

4. The arbitrator’s decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

5. By participating in the Program, you waive any right to bring or participate in a lawsuit, jury trial, or class action related to these Terms.

10. Acceptance of Terms

By submitting a Business Referral Request Form, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including all rules regarding eligibility, payment, arbitration, and limitations.
